These General Terms and Conditions of Sale (hereinafter « GTCS ») apply to all service agreements entered into between TAM 7 srl (hereinafter « TAM 7 or the « Service Provider »), a private limited liability company under Belgian law, BCE 1019310642, VAT BE 1019310642, with registered office at Quai des Usines 160, 1000 Brussels, and any client, whether a professional (hereinafter the « Professional Client ») or a consumer within the meaning of Article I.1, 2° of the Belgian Code of Economic Law (hereinafter the « Consumer »), hereinafter collectively referred to as the « Client ».
These GTCS prevail over any other document issued by the Client, unless expressly, prior, specific and written derogation is granted by an authorized representative of TAM 7. Any order implies unconditional acceptance of these GTCS.
ℹ Provisions marked [B2C] apply exclusively to Consumers. Provisions marked [B2B] apply exclusively to Professional Clients. Unmarked provisions apply to all Clients.
Article 1 — Scope of activity and covered services
TAM 7 srl offers the following technical services, as described on the Site and in individual quotes:

Complete renovation & premium finishes (all trades: masonry, joinery, flooring, painting, layout — project management, turnkey delivery)

General and smart electrical work (design, installation, RGIE compliance, home automation, access control)

Solar panels and energy storage systems (feasibility study, PV installation, lithium batteries, grid connection)
-
Acoustic treatment (acoustic studies, sound insulation, custom acoustic correction)
-
Logistics & technical assembly (reception, secure transport in Belgium and the EU, assembly, commissioning)
-
Technical consulting and project management (technical audit, feasibility study, budgeting, planning, site supervision)
Each service is subject to an individualized quote specifying the details of the work, the estimated schedule and the price.
Article 2 — Formation of the contract
2.1 Quote
Any service is preceded by the establishment of a detailed, free and non-binding quote, specifying:

The nature and extent of the services

The price excluding VAT and including VAT

The estimated completion time
-
The payment terms
Unless otherwise indicated on the quote, it is valid for a period of thirty (30) calendar days from its date of issue, in accordance with standard contractual practices in the Belgian construction sector. After this period, TAM 7 reserves the right to revise it.
2.2 Acceptance and formation of the contract
The contract is definitively formed on the date on which TAM 7 receives the quote signed by the Client with the handwritten or electronic mention « Approved », or on the date on which TAM 7 confirms in writing acceptance of the Client's order.
Electronic acceptance (unconditional confirmation email) has contractual force equal to handwritten acceptance, in accordance with Articles XII.15 and XII.16 of the CDE and Article 3.84 of the new Belgian Civil Code.
Any modification of the scope of work after acceptance of the quote shall be subject to a written amendment signed by both parties.
2.3 Customized quotes
The quote is established on the basis of the information, measurements and technical constraints communicated by the Client. Any inaccurate or incomplete information provided by the Client may lead to a revision of the quote. TAM 7 disclaims any liability for any additional costs resulting from incorrect information provided by the Client.
Article 3 — Prices, VAT and price revision
3.1 Prices
Unless expressly stated otherwise on the quote, all prices are expressed in euros (€) excluding VAT The applicable VAT rate is that in force in Belgium at the time the invoice is issued.
Depending on the nature of the services and the status of the Client, the following regimes apply:

| Standard rate | 21% VAT | Applicable to work on new buildings, commercial premises, industrial buildings, and all other services not covered by the above regimes. |
ℹ Benefit of the reduced 6% rate is subject to the Client providing a duly completed compliance certificate. TAM 7 disclaims any liability in the event of a claim from the Belgian tax authorities relating to an erroneous or incomplete certificate provided by the Client.
3.2 Price revision
Prices are fixed for the duration of the quote (30 days). For projects whose execution duration exceeds three (3) months, TAM 7 reserves the right to apply a price revision in the event of a significant variation (greater than 5%) in the cost of construction materials, energy or wages.
This revision will be notified to the Client with 15 days' notice.
Article 4 — Payment terms
4.1 Standard payment schedule
Unless special conditions are agreed in writing in the quote, payment is made according to the following schedule:

4.2 Payment methods
Payments are made exclusively by bank transfer to the TAM 7 srl account provided on the invoice. Invoices are payable within fourteen (14) calendar days from their date of issue.
4.3 Late payment — Professional Clients [B2B]
In the event of non-payment by a Professional Client on the due date, TAM 7 automatically applies, in accordance with the Belgian law of August 2, 2002:

Late interest : semi-annual reference rate set by the ECB, increased by eight (8) percentage points (ECB rate + 8%)

Flat-rate recovery indemnity: from €20 to €90 depending on the amount of the claim

Suspension of services: after a formal notice remaining without effect for eight (8) working days
4.4 Late payment — Consumers [B2C]
In the event of late payment by a Consumer, TAM 7 will first send a written formal notice granting a payment period of fifteen (15) calendar days.
4.5 Accelerated payment clause
Non-payment of an invoice on its due date automatically makes immediately due all of TAM 7's claims against the Client, whether or not they have matured.
4.6 Retention of title
TAM 7 retains ownership of all materials, equipment and supplies delivered until full payment of the agreed price, in accordance with Articles 5.251 et seq. of the new Belgian Civil Code.
Article 5 — Performance of services
5.1 Completion times
The completion times indicated in the quote are given for guidance only and run from receipt of all necessary elements (access to premises, technical information, administrative authorizations) and payment of the deposit.
5.2 Client obligations
The Client irrevocably undertakes to:

Provide TAM 7 with all necessary information, documents and access

Ensure secure access to premises, sites and installations

Appoint a single point of contact with the necessary authority

Obtain in advance all necessary permits and authorizations for the work

Inform TAM 7 of any known technical, regulatory or environmental constraints
-
Ensure that the premises are free of any obstacles and accessible
5.3 Prior inventory of fixtures
For any renovation project, TAM 7 and the Client shall jointly establish a prior inventory of fixtures noting the condition of the property before intervention. In the absence of such inventory, any undocumented pre-existing deterioration cannot be attributed to TAM 7.
5.4 Waste management
Waste generated by TAM 7's work is disposed of by TAM 7 or its subcontractors. Pre-existing waste or debris resulting from major demolitions shall be subject to a specific provision in the quote.
5.5 Subcontracting
TAM 7 reserves the right to use qualified subcontractors for all or part of the services. TAM 7 remains the sole point of contact and contractually responsible to the Client.
5.6 Compliance with standards
Electrical work is carried out in accordance with General Regulations on Electrical Installations (GREI) and results in the issuance of an inspection report by an approved body.
Article 6 — Acceptance of work
6.1 Joint acceptance
Upon completion of the services, TAM 7 invites the Client for a joint acceptance visit. Acceptance is recorded by the signing of an acceptance report by both parties.
6.2 Tacit acceptance
In the absence of a signed report, full payment of the final invoice balance by the Client constitutes tacit and final acceptance of the work, without reservation.
6.3 Reservations
The Client has a period of eight (8) working days following completion of the work to notify TAM 7 in writing of any duly justified reservations. Notification of reservations does not authorize the Client to suspend payment of the balance.
Article 7 — Legal guarantees
7.1 Ten-year liability
In accordance with Articles 1792 and 2270 of the former Belgian Civil Code, TAM 7 is automatically liable for ten (10) years from acceptance of the work for any serious defects compromising the solidity of the structure or making it unfit for its intended purpose.
7.2 Two-year guarantee of proper functioning
TAM 7 guarantees for two (2) years rom acceptance the proper functioning of separable equipment items installed as part of the work.
7.3 Conformity guarantee for goods supplied and installed [B2C]
For contracts entered into with Consumers, TAM 7 is subject to the legal conformity guarantee provided for in Articles 1649bis to 1649octies of the former Belgian Civil Code, covering any lack of conformity appearing within a period of two (2) years.
7.4 Professional insurance
TAM 7 holds Professional Civil Liability insurance and, for projects requiring it, Ten-year liability insurance.
7.5 Guarantee exclusions
The above guarantees are excluded for damage or defects resulting from:

Abnormal or non-compliant use of TAM 7's recommendations

Modification or intervention by a third party without prior written consent

Negligence or lack of normal maintenance
-
External events
-
Normal wear and tear
Article 8 — Service Provider's liability
TAM 7's contractual liability is incurred only in the event of proven fault. Within the limits permitted by applicable Belgian law:

TAM 7's liability is capped at the total amount actually invoiced and collected for the disputed service

TAM 7 is not liable for indirect, immaterial, consequential or punitive damages, except in the case of fraud or gross negligence
ℹ These limitations do not apply to bodily injury, fraud or gross negligence by TAM 7, nor to mandatory legal rights of Consumers.
Article 9 — Right of withdrawal [B2C]
In accordance with Articles VI.47 to VI.53 of the Belgian CDE, any Consumer has a right of withdrawal of fourteen (14) calendar days from the conclusion of the contract.
9.1 Exercise of the right of withdrawal
The Consumer must notify TAM 7 of their decision before the expiry of the 14-day period, by email to info@tam-7.com (subject: « Withdrawal ») or by registered mail.
9.2 Performance started at the Consumer's request
If the Consumer expressly requests that performance of the services begin before the withdrawal period expires, TAM 7 is entitled to invoice the services performed pro rata to the total agreed price.
9.3 Exclusions
The right of withdrawal does not apply to contracts for services fully performed with the Consumer's prior express consent, nor to urgent repair or maintenance work.
Article 10 — Force majeure
Force majeure includes any event that is unforeseeable, irresistible and external to the party invoking it. If the event persists beyond sixty (60) calendar days, either party may terminate the contract without compensation, subject to payment for services already performed.
Article 11 — Termination and financial consequences
11.1 Termination for breach
In the event of a material breach by either party of its obligations, the other party may, after formal notice remaining without effect for fifteen (15) working daysdeclare the automatic termination of the contract.
11.2 Termination at the Client's initiative without fault by TAM 7
In the event of termination of the contract at the Client's initiative without fault by TAM 7, the Client shall be liable for:

All services performed up to the date of termination

A flat-rate termination indemnity of 20% of the amount of services not yet performed
Article 12 — Confidentiality
Each party undertakes to keep strictly confidential all technical, commercial, financial or strategic information of the other party, during the term of the contract and for a period of five (5) years following its expiry or termination.
Article 13 — Personal data protection
In the performance of the services, TAM 7 processes the Client's personal data in accordance with the GDPR and the Belgian law of July 30, 2018. For any information, please consult the Privacy Policy available on the Site.
Article 14 — Applicable law and jurisdiction
These GTCS are governed exclusively by Belgian law.
Any dispute shall be submitted, failing amicable resolution within 30 days, to the courts of the judicial district of Brussels. For disputes with Consumers, territorial jurisdiction lies with the Consumer's domicile.
Article 15 — Severability and entirety
If any clause of these GTCS is declared null and void, such nullity shall not affect the other clauses. These GTCS, together with the accepted quote and any amendments thereto, constitute the entire agreement between the parties.
